Partner agreement

Parties

This agreement is between Uthena LLC (US), operating GrabLTD ("GrabLTD"), and the software maker that signs up as a partner ("you").

Marketplace role

GrabLTD is the marketplace and merchant of record for deals sold on GrabLTD: it takes payment, invoices the buyer, keeps its share and pays you yours. You are the seller of the software and are responsible for delivery, the product working as described, and support.

Listings

You create the listing in your account. GrabLTD approves it; if no admin acts within 7 days, it is approved automatically (the clock can be paused, and it does not run while your payout account is unverified or the listing carries policy flags). You must be entitled to sell what you list and your facts must be true. Lifetime deals and subscriptions are priced in US dollars, excluding tax.

Money

  • Split: on lifetime deals sold on GrabLTD, 35% to GrabLTD and 65% to you, of the sale amount excluding tax. Affiliate commission is paid out of GrabLTD's 35%.
  • Raised affiliate rate: you may raise the affiliate rate on your own deals up to 30%; the extra comes out of your 65%.
  • Subscription listings: $50 per month per product. Combined listings: $50 per month plus an agreed affiliate percentage, only on request and never charged silently.
  • Stripe fees are GrabLTD's cost.
  • Reserve: 20% of the sale amount (excluding tax) is held from your share as a chargeback reserve. It is released in one go once the deal has ended and 120 days have passed. It can be adjusted per partner and per deal.
  • Chargebacks and chargeback fees come out of the reserve first, then out of later payouts.
  • Payouts: your money is locked for the refund window plus 15 days, then paid automatically in the next of two payout runs each month. Partners outside the US, UK, EEA, Canada and Switzerland are paid manually. Taxes on your income are yours.

Refunds

You choose a window of 14, 30 or 60 days per deal. A refund request goes to you; if you do not act within 5 days, GrabLTD refunds the buyer automatically and the amount is taken from your share. No partial refunds. GrabLTD's responsibility ends when the window closes.

Delivery

You upload the codes or vouchers and write the delivery email. GrabLTD sends the email and the code. You handle support.

Exposure and reviews

Paid placements and sponsored posts follow the sponsored content policy. You may offer free access for a video review (at least 1 lifetime license, or at least 5 years of subscription access for 1 account). Paying for exposure does not buy a recommendation.

Ending

You can pause or end a listing; purchases already made are honoured. GrabLTD can remove a listing that breaks the rules, misleads buyers or is not delivered, and can hold payouts while it investigates.
