Partner Agreement

Draft for review. This agreement describes how the GrabLTD partner program is intended to work. It has not yet been reviewed by a lawyer — treat it as a plain-language summary of the deal until the final version is published.

1. Who this is for

This Partner Agreement applies to software vendors ("Partners") who list and sell their own products on GrabLTD. It is in addition to our general Terms and Privacy Policy. By applying to become a Partner you accept this agreement.

2. You are the vendor — not GrabLTD

You own your product. You are solely responsible for delivering it, licensing it, supporting it, and handling refunds and cancellations. GrabLTD is a marketplace and discovery platform that connects buyers to your deal — we are never the vendor, the developer, or the support team.

Buyers are your customers, not GrabLTD's. Whether a buyer pays you directly or pays through GrabLTD, the product, the licence, the account, and all delivery and fulfilment are between you and the buyer, governed by your terms and policies. GrabLTD is the middle man — we facilitate the sale and take our cut, nothing more.

3. How money is split

For each sale, proceeds are allocated in this order:

Expenses first. Payment-processing fees (e.g. Stripe) are deducted from the gross amount.
25% marketplace fee. GrabLTD's marketplace fee is 25% of the remaining (net) amount. You keep the other 75%.
Affiliates (future). When a sale is driven by an affiliate, the affiliate receives 15% and GrabLTD keeps 10% (together making up the 25% marketplace fee). When there is no affiliate, GrabLTD keeps the full 25%.

Your per-partner fee may differ from the standard rate; the rate in force is shown in your partner dashboard. We'll give reasonable notice before changing it.

4. Payouts & net payment terms

Payouts use net-30 terms: your share of a sale is released 30 days after the purchase (we may extend this to 45 days for newer partners), provided there has been no refund, chargeback, or cancellation on that sale within the window. Where Stripe Connect supports it, eligible payouts are dispersed automatically; otherwise they are released manually after the holding period.

Payout timing and holding periods can depend on your track record — for example the number of deals you've sold and how long you've been a partner. Established partners in good standing may receive faster or automatic payouts.

5. Refunds, chargebacks & cancellations

Because you are the vendor, you set and honour your refund policy. If a buyer is refunded or charges back a sale, the corresponding marketplace fee and any affiliate share are reversed, and the amount is deducted from your balance or future payouts. GrabLTD is not liable for refunds, chargebacks, or disputes arising from your product.

6. Selling via your own link

You may list a deal that sends buyers to your own website or checkout. In that case the link is an affiliate link from which GrabLTD earns a commission. We may, in future, offer a paid option to link directly to your site without the affiliate arrangement.

7. Activation instructions & licence keys

You may optionally pre-upload activation instructions and licence keys/codes so buyers can start using your software immediately after purchase. You are responsible for the accuracy and validity of anything you upload, and for supplying enough keys to fulfil your sales.

8. Your content & standards

You confirm you have the right to sell what you list and to use the names, logos, and media you upload, and that your product and listing are accurate, lawful, and free of malware. Listings are reviewed before they go live, and we may edit, decline, or remove any listing that breaches these standards.

9. Suspension & termination

Either party may end this agreement at any time. We may suspend or remove a partner account (taking its deals offline) for breach of this agreement, excessive refunds/chargebacks, or buyer-safety reasons. Payouts already earned and outside their holding period remain payable, subject to refund and chargeback reversals.

10. Liability

GrabLTD provides the marketplace "as is". To the extent permitted by law, we are not liable for your product, your relationship with buyers, or losses arising from your sales. You agree to indemnify GrabLTD against claims arising from your product or your breach of this agreement.

11. Changes

We may update this agreement. When we make a material change we'll bump the version above and may ask you to re-accept it from your partner dashboard. Continuing to sell on GrabLTD after a change means you accept the updated agreement.
